This Refund Policy is part of, and incorporated by reference into, our Terms of Service. Capitalized terms not defined here have the meaning given in the Terms.
Default rule: All fees are NON-REFUNDABLE
By paying any invoice, retainer, deposit, or other fee for services provided by BCAX LLC (โBCAโ), you acknowledge that all fees are non-refundable upon payment, except as expressly stated below or as required by mandatory consumer-protection law of your country of residence that you have not validly waived.
Government fees, third-party fees, and pass-through costs (including but not limited to IRS user fees, Wyoming Secretary-of-State filing fees, notarial fees, e-signature platform fees, courier fees, bank wire fees, and Stripe processing fees) are always non-refundable once incurred.
Limited exceptions
(a) Engagement not yet started
If you have paid a fee and no work has been performed and no third-party fee has been incurred, you may request a refund of the net amount you actually paid, less:
- a 15% administrative fee (minimum USD 50) to cover account setup, KYC, banking, and intake costs,
- any payment-processor fees we incurred (Stripe, Wise, Mercury โ typically 2.9% + USD 0.30 in the U.S., higher internationally),
- any tax we have already remitted on the transaction.
Refund requests under this exception must be made in writing to [email protected] within 7 days of payment. Requests after 7 days are denied as a matter of policy.
(b) Service we cannot deliver
If we conclude that we cannot deliver a contracted service (for example, we determine after KYC that we cannot legally onboard you), we will refund the portion of fees corresponding to undelivered work, less administrative and pass-through costs already incurred. A delay caused by a third party (IRS, foreign bank, foreign government, foreign notary) is not a basis for refund โ you accept that BCA does not control third-party timelines.
(c) EU consumer cooling-off period (where applicable)
If you are a consumer (not acting in the course of a trade or business) located in the European Economic Area or the United Kingdom and you have not waived your right of withdrawal under EU Directive 2011/83/EU, you have 14 days from the conclusion of the contract to withdraw without giving a reason. To exercise this right, email [email protected] with subject line EU Withdrawal. We typically begin work immediately upon Engagement Letter signing โ by signing the Engagement Letter you may be expressly waiving this right under Article 16(m) of the Directive (digital content delivered before the end of the withdrawal period); the Engagement Letter contains the exact waiver language.
What is NOT refundable, ever
- Any portion of a fee for which regulated work has been commenced, including but not limited to: SS-4 filings, formation filings with any state, ITIN W-7 submissions, tax returns prepared, sub-leases drafted, notarial deeds executed, bank account openings, e-signature envelopes sent.
- Pass-through fees of any kind, even if the underlying filing was rejected or delayed.
- Subscription fees for past periods of access, even if you did not actively use the Service.
- Fees paid more than 12 months before the refund request.
- Discretionary discounts or credits โ we may decline to honor any promotional discount on a refund calculation.
Termination by BCA
If we terminate your engagement under Section 6 of the Terms (violation of Terms, applicable law, KYC failure, fraud, or abuse), no refund is owed. We may, in our sole discretion, refund the portion of fees corresponding to work not yet performed, but we are not obligated to.
How to request a refund

Refund Request โ [Engagement Reference]. - Include: the engagement reference, the invoice number(s), the amount paid, the date paid, the services delivered to date, and the basis for the refund request under one of the exceptions above.
- We will acknowledge within 5 business days and decide within 30 days.
- Approved refunds are returned to the original payment method, net of processor fees, within 10 business days of approval. Currency conversion to your local currency is at the processorโs prevailing rate; we are not liable for FX losses.
Chargebacks
Initiating a credit-card chargeback or payment-platform dispute without first attempting good-faith resolution under this policy is a material breach of the Terms. We reserve the right to (a) defend the chargeback with full evidence, (b) terminate your account immediately, (c) bill you for our chargeback-defense costs, and (d) refer the matter to collection.
Governing law
This Refund Policy is governed by the laws of the State of Wyoming, USA, as set out in Section 15 of the Terms. Disputes are subject to the mandatory individual arbitration clause in Section 14 of the Terms.

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. The exclusive forum for any dispute shall be the state and federal courts located in Sheridan County, Wyoming, except where applicable consumer-protection law of your country of residence grants you a non-waivable right to a local forum.
